ACCEPTANCE OF TERMS

By accessing or using the ippbxHOST website, creating an account, or placing an order for any service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in full. If you do not agree to these Terms, you must not use this website or any services offered by ippbxHOST.

INTRODUCTION

The company ippbxHOST is exclusively a seller of wholesale cloud hosting services. The services offered are of the best available quality. ippbxHOST does not pretend to offer 100% reliable service, to deal with specific providers or to get specific permissions from any providers, clients, or any other person, and does not offer any warranty of it. ippbxHOST does not offer warranty of quality or availability of its services, other than our published SLA noted on our website. All parties agree that they will conduct business in compliance with all requirements of the laws of the State or local Country in which they operate.

DEFINITION

The term “customer” in this document applies to every person, company, or other entity that has opened an account with ippbxHOST. Customers agree to all of these terms upon opening an account using our signup form or via customer service, email, or phone. Customers are advised not to use this service as their sole call termination service and are advised to have a backup solution in case this service fails to meet demand due to factors outside of our control. The customer understands that ippbxHOST does not guarantee privacy on communications due to the nature of how VoIP traffic travels over public networks. ippbxHOST offers no warranty for failure of service other than our published SLA. ippbxHOST does not claim its service is “standard line quality”; service quality is “as is” and may vary depending on customer location and call destination. Our product is designed and marketed to VoIP channel providers with technical expertise. ippbxHOST services are wholesale only and sold to channel partners who resell our services. All taxes and compliance with federal, state, and local regulations are the responsibility of the account holder. The customer acknowledges that ippbxHOST does not collect or remit sales tax, use tax, VAT, telecom regulatory fees, or any other taxes or surcharges on the customer’s behalf. It is the sole responsibility of the customer to assess, report, and remit all required taxes or fees related to the use or resale of ippbxHOST services. Customers agree to indemnify ippbxHOST from any liability or penalties arising from tax non-compliance. We do not bill end users directly. The customer is responsible for safeguarding login and password information. Any loss or compromise is the customer’s responsibility. Customers agree to regularly change their passwords to protect against unauthorized access. All usage must comply with applicable laws in the USA, Canada, and the customer’s jurisdiction. CallerID/ANI must be accurate and not misleading. ippbxHOST makes no warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose. All payments are first applied to any outstanding balance. Negative balances are due regardless of service continuation. ippbxHOST may suspend service for accounts with overdue invoices beyond 3 days. Service may be discontinued at any time without notice. All payments are non-refundable. Any credit due will remain on the customer account. Rate quotes are valid only on the day issued. Customers are responsible for verifying rates. Flat rate DID plans are commercial-use only and subject to simultaneous call and minute limits as stated per account. Free toll-free termination is provided for minimal usage only. ippbxHOST may revoke this if usage is deemed excessive. Call origination from payphones to toll-free numbers is not guaranteed. Use of scripts modifying the customer portal beyond cosmetic changes is prohibited and may result in account deletion and legal action. Customers are responsible for all usage and balance management. Customers may not purchase DIDs with intent to port out. Port-out fees may apply. ippbxHOST reserves the right to limit or deny new DID purchases if abuse is suspected. Billing increments: USA & Canada: 6 seconds (min 6s), Mexico: 60 seconds (min 60s), Rest of world: 6 seconds (min 6s). Service descriptions are based on information from intermediaries and are not guaranteed. ippbxHOST does not guarantee reliability or uptime. The customer agrees not to initiate any claims or actions that may harm ippbxHOST financially or otherwise. ippbxHOST does not sell customer personal or business data.

SOFTWARE SALES

Non-Refundable and Non-Returnable Software Purchases: All software purchases are final, non-refundable, and non-returnable. By ordering, the customer acknowledges awareness of the specific product and version. Disputes or requests for return will not be accepted once the transaction is completed.

No returns or refunds are provided for software regardless of functionality.

Refund policy for hosting or phone services: All plans are month-to-month and non-refundable unless ippbxHOST fails to deliver the advertised service.

Our system uses security scoring to evaluate IP addresses at signup or login. Customers may be denied access if scores are high. ippbxHOST is not liable for resulting inconvenience or loss.

Outbound services may not be used for telemarketing, including autodialers, call centers, or collections. Violations may result in immediate suspension.

Customers may not use ippbxHOST DID numbers as caller ID or for inbound calls related to mass calling, polling, or telemarketing. Violations may lead to removal without notice.

It is the customer’s responsibility to test any new number before publishing it. We are not liable for lost revenue from faulty numbers. Faulty numbers will be removed and refunded.

SERVICE LEVEL AGREEMENT (SLA) LIMITATION OF LIABILITY

The maximum SLA refund for any account is limited to the downtime of the affected service instance and will be issued as a prorated credit based on ippbxHOST’s published SLA refund percentage allowances. SLA credits will never exceed the monthly fee of the affected instance.

ADDITIONAL FRAUD AND SECURITY TERMS

Fraud Prevention & Identity Verification: We reserve the right to request ID, credit card images (last 4 digits only), billing verification, and contact validation before fulfilling orders. Refusal may result in order cancellation or blacklisting.

Prohibited Use & Misrepresentation: False or misleading information is strictly forbidden and may result in account termination and loss of funds.

Non-Refundable Policy: All purchases are final. No chargebacks or disputes are permitted unless legally required.

Chargeback & Dispute Policy: Chargebacks without prior contact are a breach of agreement. We will provide supporting documentation to banks and pursue recovery of fees and damages.

Fraud Liability Waiver: While fraud prevention tools are used, ippbxHOST is not liable for damages resulting from unauthorized third-party transactions.

AI and Security Tools: Automated systems including AI, fraud scoring, and IP validation are used to evaluate incoming orders. Flagged orders may be delayed or denied.

Acknowledgement and Consent: Customers must check a box at checkout confirming: “By checking this box, I affirm that I am the authorized cardholder and agree to the Terms and Conditions, including the non-refundable and anti-fraud policies.”
